Terms & Conditions v1.0

I. Introduction

• This Agreement governs your use of the mobile Point-of-Sale application (the “App”) provided by Sibool.
• The App is designed as a simplified, standalone POS system for small businesses with limited inventory, offering offline functionality and a streamlined user interface.
• By installing, accessing, or using the App, you agree to be bound by these Terms and Conditions and all applicable laws and regulations.
• If you do not agree to these terms, please do not use the App.

II. User Eligibility

• Users must be legally authorized to enter into contracts and, if applicable, represent the business using the App.
• By using the App, you confirm that you meet the minimum age requirement and any other eligibility criteria established by applicable law.

III. User Conduct and Obligations

• You agree to use the App solely for lawful business purposes and in a manner consistent with all applicable regulations.
• You are responsible for maintaining the confidentiality of your authentication credentials (including your email used for Firebase authentication) and for all activities that occur under your account.
• You shall not engage in any conduct that interferes with the proper functioning of the App or compromises its security and integrity.
• Any unauthorized or fraudulent use of the App is strictly prohibited.

IV. Intellectual Property Rights

• All content, design elements, software, and documentation provided in the App are the exclusive property of Sibool or its licensors and are protected by applicable intellectual property laws.
• You are granted a limited, non-exclusive, non-transferable license to use the App in accordance with this Agreement.
• You may not modify, reproduce, or distribute any part of the App without explicit written permission from Sibool.

V. Disclaimers and Limitations of Liability

• The App is provided “as is” and “as available” without any warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
• Sibool does not guarantee that the App will be error-free, secure, or continuously available.
• In no event shall Sibool be liable for any indirect, incidental, consequential, or punitive damages arising from your use of, or inability to use, the App, even if advised of the possibility of such damages.

VI. Indemnification

• You agree to indemnify, defend, and hold harmless Sibool and its affiliates, directors, employees, and agents from any claims, damages, liabilities, or expenses (including reasonable attorneys’ fees) arising out of or related to:
• Your use or misuse of the App;
• Your violation of any provision of this Agreement; or
• Your infringement, or infringement by any third party using your account, of any intellectual property or other rights of any person or entity.

VII. Termination and Modification

• Sibool reserves the right to terminate or suspend your access to the App at any time, with or without notice, for any reason, including violation of this Agreement.
• We may update or modify this Agreement from time to time. Any changes will be effective upon posting the revised version within the App.
• Your continued use of the App following any changes constitutes acceptance of the new Terms and Conditions.

VIII. Governing Law and Dispute Resolution

• This Agreement shall be governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to its conflict of laws principles.
• Any disputes arising out of or relating to this Agreement shall be resolved through good-faith negotiations. If resolution cannot be achieved amicably, disputes shall be submitted to binding arbitration or adjudicated in the courts of [Jurisdiction], as applicable.

IX. Miscellaneous

• This Agreement constitutes the entire agreement between you and Sibool regarding your use of the App and supersedes all prior or contemporaneous understandings or agreements, whether written or oral.
• If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
• The failure of Sibool to enforce any right or provision in this Agreement shall not constitute a waiver of such right or provision.
• Any notices or communications regarding this Agreement must be in writing and sent to the contact information provided within the App or on our official website.
